Purpose of the Job:

 

To provide legal support for the development of PV greenfield projects in the country including all the legal activities associated to that.

 

Reporting lines

 

Reporting to :- GC-India

 

Key Accountabilities

 

• Assist in the preparation of documentation for partnerships with third parties on development projects in the region.

 

• Participate and contribute to the negotiation and preparation of legal documents for bid submittal, including mark-ups of project agreements and EPC Contract for a specific project.

 

• Participate and contribute to the negotiation of all partnership agreements, project agreements, and EPC documents for projects in which the group is awarded preferred bidder status.

 

• Participate in and assist the finance team in the legal support for the financing of new projects and ensure timely completion of the related legal documents through financial close.

 

• Assist in security creation as per the financing agreements/other agreements.

 

• Provide general advice on contract management and all legal matters as they arise (including regulatory and local law issues in coordination with local counsel) during the development phases of a project.

 

• Monitor trends in construction, infrastructure and electricity law amongst others and agreements related to the development of independent power projects.

 

• Manage the contracts of the projects under operation.

                                                                                                                   

• Assist with the setting-up of companies in India, assisting with drafting board resolutions, power of attorneys and other ancillary corporate documents, as required, in order to ensure that such company is set up as per legal procedures

 

• Contribute to the implementation and use of the document management system.

 

• Ensure compliance with policies and procedures issued by the Engie Group, monitor and report on non-compliance with policies or procedures, pending or threatened violations of law or ethical values of the Group.

 

• Awareness and reporting of ethical and human rights issues, if any, as they arise.

 

• Encourage a culture of compliance with laws and integrity in the Engie Group.

 

• Control the use, quality and cost of external legal counsel on development projects.

Qualifications

 

Law Degree from a reputable university ; priority given to candidates locally qualified from a reputable Indian law university

 

Experience

 

• 5+ years legal practice.

 

• Large law firm experience preferred, large corporate practice also valued.

 

• Experience in large infrastructure development.

 

Language

 

• Excellent command of English.

Context:

At GEMS, Compliance, Ethics and Privacy is part of an Expertise Center (“EC CEP”) and helps ensuring a safe business development and operating environment, with respect of banking & market regulations, thereby preserving business continuity and mitigating reputational risk for GEMS entities with a strong focus on Engie Global Markets (EGM) regulated entity. EC CEP reports to GEMS Executive Committee member and EGM CEO on EGM activities.

 

EC CEP plays the role of the 2nd line of defense in the compliance framework being close to the business and acting as an operational team.

 

By joining EC CEP, you will be reporting to the Head of Compliance, Ethics and Privacy Leader and join a team of 5 compliance officers at central level. You will also be part of a compliance network at global level composed of 6 additional compliance officers.  
 

 

What you will do:

 

  • Develop, implement, enforce and update policies, procedures and control plan;
  • In particular, contribute to ensure a sound and robust compliance oversight and culture within GEMS in the scope of european regulations applicable to financial markets (MAD/MAR, REMIT, MIFID II, EMIR …);
  • Ensure the implementation of the compliance framework including identifying and raising gaps for remediation if needed
  • Developing and maintaining a transversal risked-based framework to focus on major compliance, ethics and privacy risks and perform an efficient risk-monitoring program;
  • Contribute to elaborate action plans
  • Contribute to implement compliance training and communication plan;
  • Attend and/or animate internal committees related to compliance specific topics (as per e.g algorithmic trading, value trading, market conduct…);
  • Deliver expertise and support internal stakeholders on compliance topics, in particular financial compliance, in answering their requests;
  • Perform compliance controls, monitor action plans and controls results evolution on a regular basis;
  • Monitor, analyze and escalate compliance alerts / risk indicators;
  • Perform the mandatory/internal reporting, and follow-up to GEMS Head of Compliance, Ethics and Privacy;
  • Act occasionally as back-up on Privacy related topics with the GEMS DPM;
  • Be an active member of our compliance officers network at GEMS.

Education and professional backgound:

 

  • Master Degree

  • Proficiency with Powerpoint and Excel
  • Experience of in the energy sector is a plus

What You Can Expect

As our Contracts Analyst Senior, at Georgetown University, in Washington, DC, you will manage the execution of construction contracts working closely with the project team including the prime contractors, subcontractors, engineers, and equipment vendors to ensure that contract terms are understood, adhered to, and in compliance with procurement policies, regulatory, and corporate governance requirements.

 

Everyday you will manage and administer contracts, specifically for construction and engineering, related to capital improvement projects for campus energy distribution systems. These systems encompass the infrastructure for the production and distribution of chilled water, heating hot water, and steam, along with the electricity and natural gas networks. You will report to the Director of Capital Projects.

 

 

What You’ll Bring

  • You possess a Bachelor degree in Business Administration, Supply Chain Management Engineering, or related field
  • You have five 5 years of experience in a related field where you have provided field support during execution of capital projects which involves monitoring contract performance, reviewing project invoicing for contract compliance, tracking project milestones, and timely addressing any issues that arise
  • You have a background in construction contract development, contract management or project execution
  • You have an experience in construction projects, working at sites, managing subcontractors, contracts administration and change management
  • You have experience with contract development and/or contract administration, including an understanding of procurement procedures; along with project execution and project related tax, finance, insurance and legal issues
  • You can address Change Order requests by aligning with the Project Manager and all stakeholders, driving cost and schedule negotiations with the contractor, understanding the project’s scope, and utilizing the contractual terms to preserve the contracting plan
  • You will prepare final Change Order for signatures utilizing the proper Management of Change (MOC) procedures
  • You will provide support, strategy, and resolution to Project Managers on contractual claims and disputes, liaising and keeping informed all Project Stakeholders
  • You will maintain a structured and documented record of all capital project communications, notices, legal records, including lien waivers, bonds, claims
  • You will also support the procurement process of services and materials for successful completion of the capital project
  • You will develop relationships with project stakeholders, construction contractors, qualified equipment vendors, suppliers, and design/engineering firms
  • You will prepare project close-out documentation and final contract requirements at different milestones of a construction project including mechanical completion, substantial completion, and final completion
  • You will develop and maintain effective relationships with subsidiaries, to encourage knowledge sharing; while also establishing and maintaining effective working relationships with University staff
  • You will carry out other duties as assigned

What You Can Expect

Our Contracts Analyst II, located at the University of Iowa Campus, will collaborate closely with our Capital Projects team on campus and provide active support to team members located at Georgetown University, The Ohio State University, and our Corporate Office in Houston, TX. This dynamic role entails supporting the negotiation, development, and administration of capital project contracts associated with campus energy systems' capital improvement projects. Additionally, there may be involvement in contract activities for business development concerning new partnerships with universities, commercial, and industrial entities.

 

Every day is different, however one aspect of this role is constant. The significance of building and maintaining strong relationships. You'll engage with various groups and divisions within ENGIE, vendors, subcontractors, and the University on a daily basis, recognizing that robust partnerships are essential for our success on campus.

 

Your daily responsibilities will involve assisting project managers and contract advisors in the contracting and procurement process for all capital improvement projects on Campus. This includes supporting the development and tracking of Request for Proposal (RFP) packages, ensuring alignment with project schedules and stakeholder requirements. You'll take the lead in the contract bidding process for low-risk contracts, acting as the single point of contact for bidders, organizing site visits, and issuing RFP addenda as needed. Ensuring compliance with regulatory and corporate governance requirements in our contracts will be a key aspect of your role. Additionally, you'll play a pivotal role in negotiating with selected bidders, employing a documented process and sound judgment to resolve scope, terms, and other discrepancies.

 

You'll also contribute to the procurement process by creating vendor-related agreements for services and materials, and participate in the development and tracking of legal documents such as contractual submittals, notices, and change orders as necessary. Furthermore, you'll review supplier/contract project invoicing for compliance with contracts, support project close-out documentation requirements using provisional acceptance and final acceptance contract documentation, and track, evaluate, and qualify new and existing contractor relationships. Providing support on contractual claims and disputes will also be part of your responsibilities.

 

 

What You’ll Bring

  • Bachelor of Science in Applied Business, or Bachelor of Business Administration, Supply Chain or other similar degree
  • Two (2) or more years of experience in a related field where you have developed a background in contract development / contract administration or project related execution
  • You will have gained experience in energy systems development or construction with public, industrial, or commercial customers
  • You are experienced in planning  and working independently as well as being a collaborative team player
  • You are able to handle multiple tasks concurrently at a fast pace and with accuracy
  • You have excellent communication skills, with proficiency in Microsoft Office applications, particularly Word, Excel, and PowerPoint. You must be able to create Pivot Tables and charts in Excel, and produce professional presentations in PowerPoint, and craft contract documentation in word

 

 

Additional Details

  • This role is eligible for our hybrid work policy: We require a minimum of three days in the office per week, with the ability to work additional days on site when business necessitates it
