Ethics & Compliance Officer and Data Privacy Manager of Tractebel Engineering SA (Belgium) (the perimeter)

Reporting to the Head of Legal, Ethics & Compliance of the perimeter, your main assignments will be:

 

Ethics & Compliance Officer of the perimeter:

 

Support the Head of Ethics and Compliance of the perimeter in implementing and following up on the compliance program of Tractebel and Engie Group in the entire perimeter, including all legal entities, subsidiaries, branches, offices, permanent establishments and projects:

 

  • Implement Tractebel and Group E&C policies, procedures,  guidelines, tools, adjust to comply with local laws, and arrange for translations in local language, whenever necessary.
  • Prepare files for approval as required by specific risk or investment procedures, decide or give recommendations when required.
  • Report and follow up through the Group tool  incidents and received denounces; conduct, manage, and report on (internal and external) investigations; draft and follow up actions plans.
  • Support internal and external audits on ethics. Conduct or participate in local internal audits to ensure proper implementation of the Ethics & Compliance (E&C) program in the perimeter.
  • Prepare required reports, including the annual compliance report and the status of the compliance program during the management meeting.
  • Identify stakeholders and carry out annual risk assessments of business and operational activities within your perimeter.
  • Participate in the ISO 37001 certification process and follow-up audits, action plans and external monitoring.
  • Act as the business process owner of the ethics internal control process (COR-4) preparing the answers and required justifications.
  • Define, follow up, and monitor ethics action plans and remedial actions.
  • Develop and implement a specific communication and training plan in collaboration with management, and animate trainings when necessary.
  • Follow up on the attendance of the mandatory training plan with support from the HR department.
  • Manage, lead, and support the network of ethics officers and correspondents within your perimeter.
  • Enhance the ethics and compliance culture throughout the perimeter.
  • Interact with business and support line staff on ethics matters. Adress ethics and compliance issues raised by staff.
  • Perform due diligence on counterparties and/or review its results, making an assessment of risks and providing recommendations.
  • Attend to Ethics & Compliance meetings and trainings promoted by Engie and Tractebel.

 

Data Privacy Manager of the perimeter:

 

Support the Head data privacy manager of the perimeter in implementing and following up on the data privacy program of Tractebel and Engie Group in the entire perimeter, including all legal entities, subsidiaries, branches, offices, permanent establishments and projects:

 

  • Implement all current and future national and European legislation (including the GDPR), regulations, opinions and advice of the data protection authorities relating to data protection, and follow up on the compliance of the entities within your perimeter with these regulations.
  • Implement Tractebel and Group data privacy policies, procedures,  guidelines, tools and adjustment to comply with local laws, and arrange for translations to local language, whenever necessary.
  • Prepare annually a data privacy compliance program for the entities within your perimeter, indicating the priorities and challenges for each year, and present it to the Head of Legal, Ethics and Compliance of the perimeter.
  • Ensure accountability: documentation of all compliance efforts in the entities within your perimeter.
  • Business process owner of the data privacy control process (COR-7) for all the entities within your perimeter. Define, follow up, and monitor the action plans and remedial actions.
  • Regular (at least annual) data mapping exercise for all the personal data processing of the entities within your perimeter to ensure an up-to-date record of processing activitie, followed by an update of all the necessary data privacy documents (i.e. the privacy statements).
  • Prepare required reports, including the annual data privacy report, quarterly KPIs…;
  • Keep the management of the entities informed of all data privacy mattes within your perimeter (i.e annual report, data privacy program, data breaches, important events, …)
  • Carry out annual risk assessments of business and operational activities within your perimeter;
  • Advise business and support staff on all data privacy matters, support with the drafting of all the necessary (contractual) documents and handle all queries.
  • Ensure the implementation of all Group awareness campaigns and implement dedicated local awareness campaigns where necessary to ensure that staff knows and complies with the ethics requirements.
  • (Mandatory) data privacy trainings attendance and follow up. Where necessary, organize local trainings and ensure follow up of attendance.
  • Manage, lead, and support a network of local data privacy champions in the relevant departments and local entities within your perimeter.
  • Perform and help the business and support functions to perform privacy by design and data protection impact assessments.
  • Support with, and if required perform, internal and external audits;
  • Treat and report data breaches at all the appropriate levels.
  • Treat data subject requests.

 

Profile:

  • You have a law degree;
  • You have 10 years’ experience working as an in-house or external lawyer;
  • You are bilingual in French and English and preferably, notions of Dutch;
  • You have specific experience in compliance and data privacy matters;
  • You have a good understanding of the business issues and are eager to work in an international environment;
  • You are pragmatic, flexible and solution-seeking;
  • You work well in a team and have excellent communication and presentation skills;
  • You have an entrepreneurial spirit and are well-organized;

Mobility:

Based in Brussels with possible homeworking up to 3 days per week.

What You Can Expect

As our Contracts Analyst Senior, at Georgetown University, in Washington, DC, you will manage the execution of construction contracts working closely with the project team including the prime contractors, subcontractors, engineers, and equipment vendors to ensure that contract terms are understood, adhered to, and in compliance with procurement policies, regulatory, and corporate governance requirements.

 

Everyday you will manage and administer contracts, specifically for construction and engineering, related to capital improvement projects for campus energy distribution systems. These systems encompass the infrastructure for the production and distribution of chilled water, heating hot water, and steam, along with the electricity and natural gas networks. You will report to the Director of Capital Projects.

 

 

What You’ll Bring

  • You possess a Bachelor degree in Business Administration, Supply Chain Management Engineering, or related field
  • You have five 5 years of experience in a related field where you have provided field support during execution of capital projects which involves monitoring contract performance, reviewing project invoicing for contract compliance, tracking project milestones, and timely addressing any issues that arise
  • You have a background in construction contract development, contract management or project execution
  • You have an experience in construction projects, working at sites, managing subcontractors, contracts administration and change management
  • You have experience with contract development and/or contract administration, including an understanding of procurement procedures; along with project execution and project related tax, finance, insurance and legal issues
  • You can address Change Order requests by aligning with the Project Manager and all stakeholders, driving cost and schedule negotiations with the contractor, understanding the project’s scope, and utilizing the contractual terms to preserve the contracting plan
  • You will prepare final Change Order for signatures utilizing the proper Management of Change (MOC) procedures
  • You will provide support, strategy, and resolution to Project Managers on contractual claims and disputes, liaising and keeping informed all Project Stakeholders
  • You will maintain a structured and documented record of all capital project communications, notices, legal records, including lien waivers, bonds, claims
  • You will also support the procurement process of services and materials for successful completion of the capital project
  • You will develop relationships with project stakeholders, construction contractors, qualified equipment vendors, suppliers, and design/engineering firms
  • You will prepare project close-out documentation and final contract requirements at different milestones of a construction project including mechanical completion, substantial completion, and final completion
  • You will develop and maintain effective relationships with subsidiaries, to encourage knowledge sharing; while also establishing and maintaining effective working relationships with University staff

Context

 

As part of the GEMS Legal & Regulatory department, the Gas & Power Legal Team manages all legal matters relevant to the gas and power supply business covering the existing gas and capacity portfolio in Europe and the Mediterranean region, the emerging low carbon gas products, as well as both green and thermal power matters in France and Belgium. 

 

Under the direction of the Team Manager and in conjunction with all levels of business originators, operational team and management, the Legal Counsel will provide general legal support on business development structuration, specific jurisdictional regulatory advice, transactional support, some dispute management and a general legal advice function for the power supply business.

 

What You’ll Do

 

  • Draft, review and negotiate bespoke and industry based power sales and purchase agreements (PPA, cPPA), hedging services contracts, power storage and transportation contracts, tolling agreements, intra-group contracts, energy management and flexibility contracts, term-sheets and pre-transactional documentation in relation to power business
  • Identify and mitigate transactional risks, in particular legal and regulatory risks and ensure that contracts reflect best practice, GEMS policies and procedural framework
  • Advice on operational and other events arising during the execution of a contract, including force majeure, failure to deliver or take, power scheduling and logistics issues, credit support, business conduct and trade compliance issues, and predisputes
  • Manage the above timely and in a cost-effective manner with support from external counsel when necessary
  • Develop practice notes to improve skills and know-how and assist with policy and guidelines formulation;
  • Advise on and execute the implementation of the reforms of commercial or energy market regulation in relation to the team scope
  • Work closely with other GEMS stakeholders on transactional, regulatory and compliance related matters/issues, and liaise with subject matter experts for tailored advice when necessary, to ensure common understanding of the commercial and legal requirements of the business
  • Opportunity to develop the role and take part in the ongoing initiatives and projects launched within GEMS Legal & Regulation or more generally within GEMS

 

Education/Experience  

 

  • Qualified as a lawyer under Belgian law. Being French law qualified and/or having an LLM from a common law university is a plus
  • At least 7 years relevant Post Qualified Legal Experience and first class educational qualifications
  • Proven experience in contract negotiation, preferably in the power sector
  • Solid understanding of core civil law principles on contracts, and a good grasp of legal, social and political trends that may be relevant to the power business
  • Demonstrating commercial understanding, good judgment on legal risk decisions and on when to escalate
  • Articulating firm’s governance and risk policies
  • Working effectively and collaborating as part of a team and with every stakeholder of the organisation
  • Strong organizational skills and capability of prioritizing
  • Confident, able and quick to learn
  • Able to clearly explain risks and producing results in the face of adversity
  • Excellent interpersonal and communications skills

 

Languages

Strong drafting and oral skills in English and Dutch. French would be a plus or a third European working language

  • You will oversee title work, resolve title issues, and manage the issuance of title insurance
  • You will review and negotiate finance agreements, including tax-equity finance and debt, and supporting activities related to financial closings

 

 

What You’ll Bring

  • Must have a minimum Bachelor's Degree, JD from an ABA-accredited law school, licensed to practice law in a US jurisdiction and in good standing, with experience in drafting and commercial skills, technical and legal risk awareness, innovative deals and structuring, and transaction and project management skills

  • Must have interpersonal relationship skills, a commitment to professional and ethical standards, and the ability to work effectively as part of a cross-functional team
  • Ability to flexibly adapt to changing priorities and demanding deadlines with minimal frustration, and to timely support multiple complex assignments with superior legal work products and/or practical legal advice
  • Demonstrate commercial understanding, good judgment on legal risk decisions, and know when to escalate issues
  • Ability to work independently with little or no supervision, and familiarity with a range of structured finance transactions, including real estate, permitting, construction, and M&A

 

 

Additional Details

  • This role is eligible for our hybrid work policy; working in the office at least 3 days a week. 
  • Must be available to travel domestically up to 10% of the time
  • Must be willing and able to comply with all ENGIE ethics and safety policies;
  • This position consist of 5% of outdoor work, while performing the duties of this job, the employee is exposed to weather conditions

 

 

Compensation

Salary Range: $166,900 – $275,000 USD annually

 

This represents the average expected pay range for a qualified candidate.

Actual offered salary may depend on geography, experience, industry knowledge, education, internal pay alignment, or other bona fide factors.

In addition to base pay, this position is eligible for a competitive bonus / incentive plan.

Junior Legal Counsel

Reporting line :

The Junior Legal Counsel will report to the Head of Legal KSA.

 

Objective :

  •  Legal support to activities within KSA;
  •  Legal support to the Head of Legal KSA in contract drafting, company secretariat and corporate work, monitor and interpretation of the local regulation relevant to the Engie businesses in the Kingdom;
  •  Ensure compliance with the Engie Ethics Code of Conduct and policies

 

Job responsibility :

  •  Provide legal support in corporate related matters and secretariat work.
  •  Analysis and monitoring of the KSA regulations in the energy sector with focus on permitting and licensing;
  •  Assist in the drafting and negotiation of MoU, NdA, partnership agreements, service contracts.
  •  Contribute to the development and improvement of internal processes and procedures in KSA and ensure ENGIE interests are safeguarded;
  • Contribute to the implementation and use of the document management system and contracts digitalization;
  • Encourage a culture of compliance with laws, ethics and integrity in the Group;
  •  Control the use, quality and cost of external legal counsels.

Qualifications :

• Law Degree from a reputable university.

 

Experience :

• 2+ years of legal experience

• Fluent in English
