The goal of the section is to explain everyday activities of someone who works in this role.  Convey the day-to-day impact and responsibilities of this is a highly motivated, creative, and results-oriented Senior Attorney of our Distributed Solar + Storage (DSS) team you will work with a broad range of responsibilities to support and facilitate a rapidly growing business. In this role, you’ll provide legal support across all aspects of the business unit, including origination, merger & acquisition, negotiations, contracts, titles, construction, and financing. Your key responsibilities will include:

  • You will be responsible for crafting and executing comprehensive legal strategies to facilitate DSS’s commercial objectives while mitigating legal risks
  • You must handle the drafting and negotiating a variety of commercial agreements to support the development team’s activities
  • You must be able to proactively identify and resolving legal issues and areas of risk
  • You will oversee title work, resolve title issues, and manage the issuance of title insurance
  • You will review and negotiate finance agreements, including tax-equity finance and debt, and supporting activities related to financial closings

 

 

What You’ll Bring

  • Must have a minimum Bachelor Degree, JD from an ABA-accredited law school, licensed to practice law in a US jurisdiction and in good standing, with experience in drafting and commercial skills, technical and legal risk awareness, innovative deals and structuring, and transaction and project management skills

  • Must have interpersonal relationship skills, a commitment to professional and ethical standards, and the ability to work effectively as part of a cross-functional team
  • Ability to flexibly adapt to changing priorities and demanding deadlines with minimal frustration, and to timely support multiple complex assignments with superior legal work products and/or practical legal advice
  • Demonstrate commercial understanding, good judgment on legal risk decisions, and know when to escalate issues
  • Ability to work independently with little or no supervision, and familiarity with a range of structured finance transactions, including real estate, permitting, construction, and M&A

 

 

Additional Details

  • This role is eligible for our hybrid work policy; working in the office at least 3 days a week 
  • Must be available to travel domestically up to 10% of the time

  • This position consist of 5% of outdoor work, while performing the duties of this job, the employee is exposed to weather conditions

 

 

Compensation

Salary Range: $166,900 – $250,000 USD annually

 

This represents the average expected pay range for a qualified candidate.

Actual offered salary may depend on geography, experience, industry knowledge, education, internal pay alignment, or other bona fide factors.

Context

 

As part of the GEMS Legal & Regulatory department, the Gas & Power Legal Team manages all legal matters relevant to the gas and power supply business covering the existing gas and capacity portfolio in Europe and the Mediterranean region, the emerging low carbon gas products, as well as both green and thermal power matters in France and Belgium. 

 

Under the direction of the Team Manager and in conjunction with all levels of business originators, operational team and management, the Legal Counsel will provide general legal support on business development structuration, specific jurisdictional regulatory advice, transactional support, some dispute management and a general legal advice function for the power supply business.

 

What You’ll Do

 

  • Draft, review and negotiate bespoke and industry based power sales and purchase agreements (PPA, cPPA), hedging services contracts, power storage and transportation contracts, tolling agreements, intra-group contracts, energy management and flexibility contracts, term-sheets and pre-transactional documentation in relation to power business
  • Identify and mitigate transactional risks, in particular legal and regulatory risks and ensure that contracts reflect best practice, GEMS policies and procedural framework
  • Advice on operational and other events arising during the execution of a contract, including force majeure, failure to deliver or take, power scheduling and logistics issues, credit support, business conduct and trade compliance issues, and predisputes
  • Manage the above timely and in a cost-effective manner with support from external counsel when necessary
  • Develop practice notes to improve skills and know-how and assist with policy and guidelines formulation;
  • Advise on and execute the implementation of the reforms of commercial or energy market regulation in relation to the team scope
  • Work closely with other GEMS stakeholders on transactional, regulatory and compliance related matters/issues, and liaise with subject matter experts for tailored advice when necessary, to ensure common understanding of the commercial and legal requirements of the business
  • Opportunity to develop the role and take part in the ongoing initiatives and projects launched within GEMS Legal & Regulation or more generally within GEMS

 

Education/Experience  

 

  • Qualified as a lawyer under Belgian law. Being French law qualified and/or having an LLM from a common law university is a plus
  • At least 7 years relevant Post Qualified Legal Experience and first class educational qualifications
  • Proven experience in contract negotiation, preferably in the power sector
  • Solid understanding of core civil law principles on contracts, and a good grasp of legal, social and political trends that may be relevant to the power business
  • Demonstrating commercial understanding, good judgment on legal risk decisions and on when to escalate
  • Articulating firm’s governance and risk policies
  • Working effectively and collaborating as part of a team and with every stakeholder of the organisation
  • Strong organizational skills and capability of prioritizing

Context:

The GEMS Legal & Regulation department (85+ lawyers worldwide) is composed of 1) several client focused teams with lawyers embedded into different parts of the business based on line of business or geography and 2) a functional central legal team covering several legal functional areas which are transversal throughout GEMS (the Transversal Team). The Transversal Team (15+ lawyers in Paris and Brussels) is looking for a Senior regulation and market conduct lawyer to accompany GEMS’s activities in the day-to-day energy optimization and trading operations in compliance with the applicable regulatory framework. The position is a great opportunity to work hand-in-hand with operational teams and be associated with a range of activities (incl. optimization of the asset portfolio and wholesale energy markets re physical and financial products, both short-term and long-term).

 

Role:

You will:

  • Provide regulatory guidance to the business on regulations impacting GEMS’s activities (energy and trading) via comprehensive legal, regulatory and market conduct analyses that identify risks, issues and mitigating measures;
  • Develop strategies, internal policies and solutions to facilitate market activities/ business development/ regulatory compliance, and develop - together with other support functions and operational teams - best practices in relation to market conduct topics and wholesale energy market regulations;
  • Maintain a deep understanding of market conduct, wholesale and financial market regulations and the regulatory activities of regional and national regulators impacting the GEMS activities, incl. training operational teams on regulations impacting GEMS activities;
  • Lead, coordinate and advise on investigations (both internal and external) and regulatory inquiries in relation to energy market conduct topics in respect of GEMS activities such as from energy and financial regulators, market exchanges, and transport system operators;
  • Contribute to GEMS’ public affairs position and lobbying strategy towards public authorities and regulators to build favorable market design in respect of market conduct issues and energy market regulation topics, incl. coordinating GEMS’s contribution to national and European consultation papers on relevant market conduct and energy market regulation topics;
  • Further GEMS’ interest by attending and participating in trade associations committees (e.g. EFET, EURELECTRIC, EUROGAS) and liaise with relevant competent regional and national stakeholders; and
  • Contribute to other Transversal topics
     

Hard skills:

 

You meet all (or most of) the following criteria:

  • Qualified lawyer in France or Belgium;
  • Prior experience in the energy sector;
  • Prior experience in regulatory topics and/or energy law and/or public law and/or competition law with top-tier law firm, regulatory authority or leading commodities firm in the EU is preferred. Experience with MAR and REMIT is a plus;
  • Prior experience in litigation/investigations is a plus;
  • Very strong legal reasoning skills;

Context:

At GEMS, Compliance, Ethics and Privacy is part of an Expertise Center (“EC CEP”) and helps ensuring a safe business development and operating environment, with respect of banking & market regulations, thereby preserving business continuity and mitigating reputational risk for GEMS entities with a strong focus on Engie Global Markets (EGM) regulated entity. EC CEP reports to GEMS Executive Committee member and EGM CEO on EGM activities.

 

EC CEP plays the role of the 2nd line of defense in the compliance framework being close to the business and acting as an operational team.

 

By joining EC CEP, you will be reporting to the Head of Compliance, Ethics and Privacy Leader and join a team of 5 compliance officers at central level. You will also be part of a compliance network at global level composed of 6 additional compliance officers.  
 

 

What you will do:

 

  • Develop, implement, enforce and update policies, procedures and control plan;
  • In particular, contribute to ensure a sound and robust compliance oversight and culture within GEMS in the scope of european regulations applicable to financial markets (MAD/MAR, REMIT, MIFID II, EMIR …);
  • Ensure the implementation of the compliance framework including identifying and raising gaps for remediation if needed
  • Developing and maintaining a transversal risked-based framework to focus on major compliance, ethics and privacy risks and perform an efficient risk-monitoring program;
  • Contribute to elaborate action plans
  • Contribute to implement compliance training and communication plan;
  • Attend and/or animate internal committees related to compliance specific topics (as per e.g algorithmic trading, value trading, market conduct…);
  • Deliver expertise and support internal stakeholders on compliance topics, in particular financial compliance, in answering their requests;
  • Perform compliance controls, monitor action plans and controls results evolution on a regular basis;
  • Monitor, analyze and escalate compliance alerts / risk indicators;
  • Perform the mandatory/internal reporting, and follow-up to GEMS Head of Compliance, Ethics and Privacy;
  • Act occasionally as back-up on Privacy related topics with the GEMS DPM;
  • Be an active member of our compliance officers network at GEMS.

 

What you will bring:

 

  • Strong understanding of financial markets regulations at EU level
  • Ability to work with a large variety of internal stakeholders at local and regional level
  • Excellent presentation, analytical, drafting skills and problem-solving skills
  • Communication skills with proficiency in the English and French languages (written and oral, clear and concise writing)
  • Ability to adjust to complex international organization
  • Curiosity and autonomy to dive into a variety of subjects with a high degree of precision. Being pedagogue, persuasive and solution-oriented when possible are key
  • Cooperative and proactive mindset and ability to tailor messages according to stakeholders. You will interact with different stakeholders facing operational challenges  
  • Discretion and confidentiality

 

Education and professional backgound:

 

  • Master Degree
  • Significant experience within financial markets compliance management preferably in organizations structured at global, regional and local level
  • Strong knowledge of regulations applicable to financial markets (MAD/MAR, EMIT, MIFID II, EMIR…)
  • Proficiency with Powerpoint and Excel
  • Experience of in the energy sector is a plus
