We are looking for a Lawyer to join the existing legal team of three  persons in Rome, to support its expanding business in Italy which includes trading of energy commodities, financial derivate contracts, risk management services and energy transition contracts including corporate power purchase agreements, batteries and biomethane contracts.

Mission:

The lawyer will work in GEMS Legal team in Rome. His/her mission is to support the trading and portfolio activities on the day to day topics related to power and gas businesses and to participate in ongoing projects. The person will work closely with all GEMS teams: trading, sales, operations, risks and back-office.

The main roles and accountabilities would be:

  • Develop and execute comprehensive legal strategies and solutions to lawfully facilitate GEMS’ commercial objectives while mitigating associated legal risk
  • Advise on, draft, review, negotiate GEMS’ contracts (ISDA and EFET Master Agreements, Energy commodity supply contracts, Renewable Power Purchase Agreements, BESS and Biomethane Agreements and related agreements) and bespoke energy and risk management and services contracts
  • Draft, review, negotiate support credit management documentation (e.g. netting agreements, credit support annexes, letters of credit and guarantees) and any ancillary agreements
  • Conduct regulatory and other due diligence, review and advise on credit support, legal opinions and other conditions precedent relevant for GEMS’ contracts and services
  • Liaise with and draft legal analysis and memoranda for management and internal governance purposes
  • Address legal and regulatory developments relating to energy commodities in regulated markets, provide training on topical issues to GEMS colleagues and attend internal and industry conferences and forums
  • Develop practice notes and assist with policy and guidelines formulation and application and improve and develop standard clauses and templates
  • Advise on and execute the implementation of the reforms of commercial, financial or energy market regulation in GEMS’ products and services
  • Provide legal support in relation to contractual event-driven issues such as events of default, covenant breaches, force majeure, waivers, acceleration and enforcement and to pre-insolvency and insolvency procedures
  • Supervise external counsels

 

The successful candidate will also have the opportunity to take part in the ongoing initiatives and projects launched within GEMS Legal & Regulation or more generally within GEMS.

About YOU

Qualifications required: 

Master’s degree in Law. 

Specific Knowledge:

  • Languages: Fluent English and Italian oral and written with strong drafting skills (another language is a plus)

SUMMARY:

PRIMARY FUNCTIONS AND ESSENTIAL RESPONSIBILITIES: 

  • Draft, review, amend and negotiate commercial contracts such as NDAs and client service agreements and vendor contracts, adhering to company standards and under the supervision of senior members of the legal team.
  • Collaborate with other members of the Legal team and internal stakeholders, including commercial and business teams, to ensure contract terms align with company standard contracting requirements, policies, risk appetite, objectives & to continually improve internal client service driving business value
  • Identify and mitigate potential risks associated with contract terms and conditions, and ensure compliance with relevant laws, regulations, and company policies.
  • Support and assist other members of the team in the course of their duties, as may be requested or directed from time to time.
  • Assist with and conduct periodic contract audits to ensure adherence to contractual obligations and identify areas for improvement.

QUALIFICATIONS AND REQUIREMENTS:

    • High School Diploma or equivalent required

    • Bachelor's Degree preferred
    • 2+ years relevant experience with contract management, review, and negotiation preferred

Context

The GEMS Legal & Regulation department (85+ lawyers worldwide) is composed of 1) several client focused teams with lawyers embedded into different parts of the business based on line of business or geography and 2) a functional central legal team covering several legal functional areas which are transversal throughout GEMS (the Transversal Team). The Transversal Team (15+ lawyers in Paris and Brussels) is looking for a regulation and market conduct lawyer to accompany GEMS’s activities in the day-to-day energy optimization and trading operations in compliance with the applicable regulatory framework. The position is a great opportunity to work hand-in-hand with operational teams and be associated with a range of activities (incl. optimization of the asset portfolio and wholesale energy markets re physical and financial products, both short-term and long-term).

YOUR Role

You will:

  • Provide regulatory guidance to the business on regulations impacting GEMS’s activities (energy and trading) via comprehensive legal, regulatory and market conduct analyses that identify risks, issues and mitigating measures;
  • Develop strategies, internal policies and solutions to facilitate market activities/ business development/ regulatory compliance, and develop - together with other support functions and operational teams - best practices in relation to market conduct topics and wholesale energy market regulations;
  • Maintain a deep understanding of market conduct, wholesale and financial market regulations and the regulatory activities of regional and national regulators impacting the GEMS activities, incl. training operational teams on regulations impacting GEMS activities;
  • Lead, coordinate and advise on investigations (both internal and external) and regulatory inquiries in relation to energy market conduct topics in respect of GEMS activities such as from energy and financial regulators, market exchanges, and transport system operators;
  • Contribute to GEMS’ public affairs position and lobbying strategy towards public authorities and regulators to build favorable market design in respect of market conduct issues and energy market regulation topics, incl. coordinating GEMS’s contribution to national and European consultation papers on relevant market conduct and energy market regulation topics;
  • Further GEMS’ interest by attending and participating in trade associations committees (e.g. EFET, EURELECTRIC, EUROGAS) and liaise with relevant competent regional and national stakeholders; and
  • Contribute to other Transversal topics.

About YOU

You meet all (or most of) the following criteria:

  • Qualified lawyer (preferably in Belgium or France);
  • At least 4 years of professional experience;
  • Prior experience in the energy sector;
  • Prior experience in regulatory topics and/or energy law and/or public law and/or competition law within the EU is preferred. Experience with MAR and REMIT is a plus;
  • Prior experience in litigation/investigations is a plus;
  • Strong legal reasoning skills;
  • Excellent presentation, analytical and drafting skills;
  • Ability to understand in details complex products and how the business functions from a legal and economical point of view;
  • Effective manager of one’s time and external resources;
  • Ability to work closely with internal stakeholders;
  • Exercise sound professional judgment in identifying issues that need reference to management and/or colleagues legal experts within the business unit or the group;

Purpose of the Job:

 

To provide legal support for the development of PV greenfield projects in the country including all the legal activities associated to that.

 

Reporting lines

 

Reporting to :- GC-India

 

Key Accountabilities

 

• Assist in the preparation of documentation for partnerships with third parties on development projects in the region.

 

• Participate and contribute to the negotiation and preparation of legal documents for bid submittal, including mark-ups of project agreements and EPC Contract for a specific project.

 

• Participate and contribute to the negotiation of all partnership agreements, project agreements, and EPC documents for projects in which the group is awarded preferred bidder status.

 

• Participate in and assist the finance team in the legal support for the financing of new projects and ensure timely completion of the related legal documents through financial close.

 

• Assist in security creation as per the financing agreements/other agreements.

 

• Provide general advice on contract management and all legal matters as they arise (including regulatory and local law issues in coordination with local counsel) during the development phases of a project.

 

• Monitor trends in construction, infrastructure and electricity law amongst others and agreements related to the development of independent power projects.

 

• Manage the contracts of the projects under operation.

                                                                                                                   

• Assist with the setting-up of companies in India, assisting with drafting board resolutions, power of attorneys and other ancillary corporate documents, as required, in order to ensure that such company is set up as per legal procedures

 

• Contribute to the implementation and use of the document management system.

 

• Ensure compliance with policies and procedures issued by the Engie Group, monitor and report on non-compliance with policies or procedures, pending or threatened violations of law or ethical values of the Group.

 

• Awareness and reporting of ethical and human rights issues, if any, as they arise.

 

• Encourage a culture of compliance with laws and integrity in the Engie Group.

 

• Control the use, quality and cost of external legal counsel on development projects.

Qualifications

 

Law Degree from a reputable university ; priority given to candidates locally qualified from a reputable Indian law university

 

Experience

 

• 5+ years legal practice.

 

• Large law firm experience preferred, large corporate practice also valued.

 

• Experience in large infrastructure development.

 

Language

 

• Excellent command of English.

What You Can Expect

As our Contracts Analyst Senior, at Georgetown University, in Washington, DC, you will manage the execution of construction contracts working closely with the project team including the prime contractors, subcontractors, engineers, and equipment vendors to ensure that contract terms are understood, adhered to, and in compliance with procurement policies, regulatory, and corporate governance requirements.

 

Everyday you will manage and administer contracts, specifically for construction and engineering, related to capital improvement projects for campus energy distribution systems. These systems encompass the infrastructure for the production and distribution of chilled water, heating hot water, and steam, along with the electricity and natural gas networks.

  • You will address Change Order requests by aligning with the Project Manager and all stakeholders, driving cost and schedule negotiations with the contractor, understanding the project’s scope, and utilizing the contractual terms to preserve the contracting plan
  • You will prepare final Change Order for signatures utilizing the proper Management of Change (MOC) procedures
  • You will provide support, strategy, and resolution to Project Managers on contractual claims and disputes, liaising and keeping informed all Project Stakeholders
  • You will maintain a structured and documented record of all capital project communications, notices, legal records, including lien waivers, bonds, claims
  • You will also support the procurement process of services and materials for successful completion of the capital project
  • You will develop relationships with project stakeholders, construction contractors, qualified equipment vendors, suppliers, and design/engineering firms
  • You will prepare project close-out documentation and final contract requirements at different milestones of a construction project including mechanical completion, substantial completion, and final completion
  • You will develop and maintain effective relationships with subsidiaries, to encourage knowledge sharing; while also establishing and maintaining effective working relationships with University staff
  • You will carry out other duties as assigned

You will be reporting to the Director of Capital Projects.

 

 

What You’ll Bring

  • You possess a minimum of a Bachelor degree in Business Administration, Supply Chain Management Engineering, or related field
  • You have five 5 years of experience in a related field where you have provided field support during execution of capital projects which involves monitoring contract performance, reviewing project invoicing for contract compliance, tracking project milestones, and timely addressing any issues that arise
  • You have a background in construction contract development, contract management or project execution
  • You have an experience in construction projects, working at sites, managing subcontractors, contracts administration and change management
  • You have experience with contract development and/or contract administration, including an understanding of procurement procedures; along with project execution and project related tax, finance, insurance and legal issues

  • This role is eligible for our hybrid work policy
  • This role requires attendance at a worksite on a weekly basis
  • Must possess a valid U.S. driver’s license
  • Must be willing and able to comply with all ENGIE ethics and safety policies
  • This position consist of 20% of outdoor work, while performing the duties of this job, the employee is exposed to weather conditions
  • Ability to meet highest attendance requirements, being present during project execution

 

 

Compensation

Salary Range: $84,000 – $128,800 USD annually

 

This represents the average expected pay range for a qualified candidate.

 

Actual offered salary may depend on geography, experience, industry knowledge, education, internal pay alignment, or other bona fide factors.
