Context:
 

As part of the GEMS Legal & Regulatory department, the Legal Manager would be responsible for the legal support to GEMS’s energy trading and giant customers activities in France and Belgium and be part of the direction committee of the global GEMS Legal & Regulatory Department.

The legal manager will report to the GEMS Head of Legal & Regulatory Affairs.

Role:

 

  • Manage a legal team based in Paris and Brussels, providing direction while leveraging on their skills and give space for adequate empowerment.
  • Actively participate to the direction committee of the global GEMS Legal & Regulatory Department.
  • Act as a subject-matter expert on legal developments affecting physical and financial energy trading markets, coordinate the legal knowledge and contract management expertise in this respect and provide training on topical issues to GEMS colleagues.
  • Work closely with GEMS Legal & Regulation colleagues globally and collaborate with other GEMS stakeholders and management, particularly the Trading, Credit and Compliance groups, on day-to-day activities and transactional related matters/issues.
  • Draft, review and negotiate:  
    • Master Agreements (e.g., ISDA and EFET agreements, together with relevant annexes) for various energy commodities  and related derivatives (i.e., power, gas, emissions, CEE, carbon offsets)
    • Secured energy supply and credit facilities for retail electric providers
    • Other energy contracts (i.e., energy management agreements, hedging contracts, intra-group contracts, brokerage contracts, etc.)
    • Pre-transactional documents, e.g., confidentiality agreements, letters of intent, term sheets, etc.
    • Credit management documentation (e.g., credit support annexes, letters of credit and guaranties)
    • Ancillary agreements related to the GEMS’ team scope
  • Structure complex hedge and other commodity transactions for affiliate and third-party renewable energy projects, battery energy storage systems (BESS), downstream energy consumers and retail electricity providers.
  • Provide legal guidance in relation to event-driven issues such as events of default, covenant breaches, claims of force majeure, acceleration, and enforcement and reservation of rights while advising on the impact on the company’s financial position.
  • exercise sound professional judgment in identifying issues that need reference to the management and/or relevant other legal teams, prepare legal risk memos for approval.
  • Supervise external counsel (when appropriate) in managing complex transactions, regulatory inquiries and commercial litigation.
  • Comply with and support the ethics, compliance and other applicable policies and procedures of ENGIE Group and GEMS and work cooperatively with the personnel charged with implementing and monitoring same.
  • Responsible for reporting by the team.
  • Support other members of the GEMS Legal & Regulation Team: including through internal functional reporting, by participating in GEMS Legal & Regulation Team committees and events, and by sharing knowledge and experience.
  • Plan and organize legal work to meet individual, team and business line objectives while achieving quality and value.

    Hard skills:

  • Prior energy industry experience focusing on wholesale energy markets.
  • Experience with managing and coordinating people and subject matters.
  • Strong skills in review and analysis, interpretation, drafting, negotiation and administration of commercial contracts.
  • Ability to analyze complex business situations, taking into account business drivers, to develop risk mitigation recommendations in a commercially minded manner. 
  • Able to clearly explain risks, advise on both commercial and associated legal consequences and exercise sound judgement on difficult issues.
  • Ability to build and manage relationships and work in a fast-paced energy trading environment.

    Soft skills:​​​​​​​
  • Proven ability to prioritize conflicting demands while paying attention to detail.
  • Team player and effective manager of internal resources.
  • Excellent interpersonal and communications skills.

    Education and professional background:

  • 10 years Post Qualified Legal Experience and first class educational qualifications.
  • Experience in an multinational business context.

    Languages:​​​​​​​
  • English and French fluency; knowledge of other languages is a plus.
